The New York LLC Transparency Act requires all Limited Liability Companies (LLCs) formed or registered in New York to report beneficial ownership information (BOI) to the NY Department of State by December 31, 2026.
This new requirement aims to increase transparency and combat financial crimes by requiring LLCs to disclose who owns and controls the company.
You must file if your LLC is:
- Formed in New York State
- A foreign LLC registered to do business in New York
- Does not qualify for an exemption
Most small LLCs do NOT qualify for exemptions. Exemptions typically apply to:
